Terms of Service

1. Acceptance of Terms

This Terms of Service agreement ("Agreement") constitutes a legally binding contract between you ("User", "you", or "your") and Propa Music & Arts Publishing, LLC ("PMApub", "Company", "we", "us", or "our"), governing your access to and use of the website located at pmapub.com, the ReleaseReady portal, SceneFlow AI, and associated software, API integrations, and video/audio generation tools (collectively, the "Platform").

By creating an account, clicking "I Agree", purchasing generation credits, or utilizing any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by every term, condition, waiver, and disclaimer contained herein. If you do not agree to these terms, you are strictly prohibited from using the Platform and must immediately cease all access.

2. Automated Artificial Intelligence Generation & Disclaimer

The Platform provides access to state-of-the-art generative artificial intelligence models (including third-party models such as Wan 2.7, Luma Ray, Kling V3, Seedance, PixVerse, Gemini, and related image/video synthesis APIs). You explicitly understand, acknowledge, and agree to the following conditions regarding AI-generated media:

• Fully Automated & Non-Deterministic Output: Media generation processes (including still images, video clips, face-locking, lip-sync rendering, storyboard scripts, and audio merges) are entirely automated and probabilistic. Outputs are generated by machine learning algorithms without human intervention or manual touch-ups.
• No Guarantee of Results or Quality: We make NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES regarding the specific visual quality, frame rate stability, facial likeness, anatomical realism, motion smoothness, prompt fidelity, continuous identity accuracy, lip-sync precision, color harmony, or subjective satisfaction of any generated output.
• Experimental Technology & AI Artifacts: Generative AI models are inherently experimental. You accept that generated outputs may contain visual artifacts, morphing geometry, anatomical inaccuracies, color shifts, resolution variations, or non-deterministic motion behaviors.
• Service Provided "AS IS": ALL AI GENERATION SERVICES, TOOLS, CREDITS, AND OUTPUTS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

3. Assumption of Risk & Hold Harmless Agreement

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO YOUR RELIANCE UPON, PUBLICATION, DISTRIBUTION, COMMERCIAL EXPLOITATION, OR DISPLAY OF ANY MEDIA GENERATED THROUGH THE PLATFORM.

3.1 Hold Harmless & Release of Liability

You hereby irrevocably and unconditionally agree to RELEASE, WAIVE, HOLD HARMLESS, AND FOREVER DISCHARGE Propa Music & Arts Publishing, LLC, its parent entities, subsidiaries, affiliates, members, managers, officers, directors, employees, contractors, third-party API providers, and legal representatives from any and all claims, demands, causes of action, lawsuits, administrative proceedings, liabilities, losses, damages (including direct, indirect, special, incidental, punitive, or consequential damages), costs, or expenses (including reasonable attorney's fees) arising out of or in connection with:

• Your use of or inability to use the Platform or any AI generation tools;
• Any defect, flaw, error, inaccuracy, or subjective dissatisfaction with AI-generated media, videos, images, or audio renders;
• Any third-party claim alleging copyright, trademark, trade secret, right of publicity, or privacy infringement relating to media uploaded or generated by you;
• Any platform downtime, data loss, credit balance changes, API modifications, or service interruptions;
• Your reliance on any storyboard, script, visual prompt, or media manifest created by the Platform.

3.2 Indemnification

You agree to defend, indemnify, and hold harmless Propa Music & Arts Publishing, LLC against any third-party claims, suits, or demands arising out of your breach of this Agreement, your uploaded reference assets, or your public distribution of generated media.

4. Waiver of Litigation & Mandatory Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

4.1 Class Action Waiver

YOU AND PROPA MUSIC & ARTS PUBLISHING, LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING.

4.2 Mandatory Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement, the Platform, AI content generation, or your account shall be settled exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in court litigation. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

5. Limitation of Liability

IN NO EVENT SHALL PROPA MUSIC & ARTS PUBLISHING, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR DAMAGE TO REPUTATION) RESULTING FROM YOUR USE OF THE PLATFORM.

COMPANY’S AGGREGATE MAXIMUM TOTAL LIABILITY TO YOU UNDER ANY AND ALL CIRCUMSTANCES SHALL BE STRICTLY LIMITED TO THE LESSER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), OR (B) THE TOTAL AMOUNT PAID BY YOU TO PMAPUB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

6. User Intellectual Property & Copyright Warranty

You retain full ownership of the original audio recordings, lyrics, likenesses, and custom reference images that you upload to the Platform. By uploading content, you grant PMApub a non-exclusive, worldwide, royalty-free license to process, host, cache, encode, and transmit your media solely for the purpose of executing your generation requests and delivering services to you.

You represent and warrant that you own or possess all necessary rights, licenses, consents, and permissions for all media you upload. You are strictly prohibited from uploading copyrighted material owned by third parties without explicit authorization.

7. Governing Law & Severability

This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law principles. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

We reserve the right to amend, update, or modify these Terms of Service at any time. Your continued use of the Platform following any modifications constitutes your acceptance of the revised agreement.
